Please read these Terms of Service ("Terms") carefully before using scout.ca.
By creating an account or using the Platform, you agree to be bound by these
Terms and our Privacy Policy.
1. About Scout
Scout Technologies ("Scout," "we," "us") operates scout.ca, an online
marketplace that connects customers seeking local services with independent
service providers ("Providers"). Scout is a **technology platform only**.
Scout is not a contractor, employer, staffing agency, or service provider.
We do not perform services, supervise workers, or guarantee the quality of
any work performed.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a
binding contract to use Scout. By using the Platform, you represent that
you meet these requirements.
3. Account Registration
You agree to:
- Provide accurate, current, and complete information when registering
- Keep your account credentials confidential
- Notify us immediately of any unauthorized access to your account
- Be responsible for all activity that occurs under your account
You may not create more than one account, impersonate another person, or
register on behalf of someone else without authorization.
4. Scout's Role as a Marketplace
Scout is a venue for connecting customers and providers. We do not:
- Employ or supervise Providers
- Guarantee the completion, quality, legality, or safety of any service
- Verify or warrant that Providers hold valid licenses or insurance
(information displayed is self-declared by Providers)
- Mediate disputes between customers and Providers
- Process or hold payments between customers and Providers
**All service agreements are made directly between the customer and the
Provider.** Scout is not a party to those agreements.
5. Provider Subscriptions
### Subscription terms
- Providers pay $29 CAD/month to maintain an active profile on Scout
- A 30-day free trial is offered to new Providers; no charge is made until
the trial period ends
- Subscriptions renew automatically each month until cancelled
- Providers receive an email reminder before the trial ends
### Cancellation
- Providers may cancel their subscription at any time via their dashboard
or by emailing [email protected]
- Cancellation takes effect at the end of the current billing period
- No refunds are issued for partial months
### Failed payments
- If a payment fails, Scout will attempt to collect payment for up to
7 days before suspending the profile from search results
- Suspended profiles are restored immediately upon successful payment
### Price changes
- Scout may change subscription pricing with at least 30 days' written
notice to existing subscribers
6. Provider Responsibilities
By creating a provider profile, you agree to:
- Provide accurate information about your business, services, pricing,
and credentials
- Hold all licenses, permits, and insurance required to perform the
services you advertise in your jurisdiction
- Respond to job requests in a timely manner (within 48 hours recommended)
- Fulfil obligations made to customers
- Not solicit customers to transact outside the Scout platform with the
intent of avoiding Scout's platform fees
- Not post fake reviews or engage in any deceptive conduct
7. Customer Responsibilities
By using Scout as a customer, you agree to:
- Provide accurate descriptions of service requests
- Show up or be available for agreed-upon appointments
- Pay providers directly for services as agreed
- Submit reviews only for jobs you have genuinely experienced
- Not abuse the job request or contact system to spam providers
8. Reviews and Ratings
- Reviews may only be submitted by customers who have completed a job
through the Scout platform
- Reviews must be honest, based on genuine experience, and must not
contain false statements of fact
- Scout reserves the right to remove reviews that violate our Review Policy
- Scout does not edit or modify the content of reviews
- Providers may not offer incentives in exchange for reviews
9. Prohibited Conduct
You may not use Scout to:
- Violate any applicable law or regulation
- Post false, misleading, or deceptive content
- Harass, abuse, or harm another user
- Scrape, copy, or distribute Scout's data without permission
- Circumvent Scout's systems or security measures
- Transmit spam, malware, or unauthorized advertising
- Use Scout for any purpose other than its intended use as a
local services marketplace
10. Intellectual Property
All Scout content, design, trademarks, logos, and software are owned by
Scout Technologies. You may not use Scout's brand assets without written
permission.
You retain ownership of content you submit (reviews, photos, business
information). By submitting content, you grant Scout a non-exclusive,
royalty-free, worldwide licence to display, distribute, and use that
content to operate and promote the Platform.
11. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES
OF ANY KIND. SCOUT DOES NOT WARRANT THAT THE PLATFORM WILL BE
UNINTERRUPTED, ERROR-FREE, OR THAT RESULTS OBTAINED FROM USE OF THE
PLATFORM WILL BE ACCURATE OR RELIABLE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, SCOUT
DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOUT'S LIABILITY TO YOU FOR
ANY CLAIM ARISING FROM USE OF THE PLATFORM IS LIMITED TO THE AMOUNT
YOU PAID TO SCOUT IN THE THREE MONTHS PRECEDING THE CLAIM, OR $100 CAD,
WHICHEVER IS GREATER.
SCOUT IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL,
SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR
GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM OR ANY SERVICES
OBTAINED THROUGH IT.
Nothing in these Terms limits liability for death or personal injury
caused by negligence, or for fraud, as required by applicable law.
13. Indemnification
You agree to indemnify and hold harmless Scout Technologies and its
operators from any claims, losses, damages, and expenses (including
reasonable legal fees) arising from your use of the Platform, your
violation of these Terms, or your violation of any third-party rights.
14. Governing Law
These Terms are governed by the laws of the Province of Ontario and the
federal laws of Canada applicable therein. Any disputes shall be resolved
in the courts of Ottawa, Ontario.
15. Dispute Resolution
Before initiating legal proceedings, we encourage you to contact us at
[email protected] to resolve any dispute informally. We will make a good
faith effort to resolve complaints within 14 business days.
16. Changes to Terms
Scout may update these Terms at any time. We will notify you by email
and post notice on the Platform at least 14 days before material changes
take effect. Continued use after the effective date constitutes acceptance.
